Terms & Conditions
These Terms & Conditions ("Terms") govern your access to and use of the Careerly platform operated by Careerly Tech LLC ("Careerly," "we," "our," or "us"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use the platform.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use Careerly. By using the platform, you represent and warrant that you meet these requirements. Employers must represent a legitimate business entity authorized to hire employees.
2. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at careerlytech@gmail.com if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.
3. Employer Terms
- Employers may access candidate profiles and contact candidates through the platform in accordance with their subscription plan.
- Job listings and company information must be accurate, current, and not misleading.
- Employers agree not to use candidate data for purposes other than evaluating candidates for open roles.
- Employers are solely responsible for compliance with all applicable employment laws, including those governing visa sponsorship, equal opportunity employment, and data privacy.
- Careerly does not guarantee that any candidate will be hired or that any employer will find a suitable candidate.
4. Job Seeker Terms
- Job seekers must provide accurate and truthful information about their qualifications, experience, and visa status.
- Submission of a profile does not guarantee contact from employers or placement in a role.
- Job seekers using paid subscription plans agree to the applicable plan terms and pricing listed on the Pricing page.
5. Subscriptions and Payments
Paid plans are billed as described at the time of purchase. All payments are processed through Stripe. Subscription fees are non-refundable except as required by applicable law or as explicitly stated in your plan terms. We reserve the right to change pricing with 30 days' notice to existing subscribers.
Failure to pay may result in suspension or termination of your account. Disputed charges must be reported within 30 days of the charge date.
6. Prohibited Uses
You agree not to:
- Use the platform for any unlawful purpose or in violation of any applicable law or regulation.
- Scrape, harvest, or systematically collect data from the platform without written permission.
- Post false, misleading, or fraudulent job listings or candidate profiles.
- Harass, threaten, or discriminate against other users.
- Attempt to gain unauthorized access to any part of the platform or its systems.
- Use automated tools, bots, or scripts to interact with the platform without express written consent.
- Circumvent any feature designed to protect user privacy or platform integrity.
7. Intellectual Property
All content on the Careerly platform — including text, graphics, logos, and software — is owned by or licensed to Careerly Tech LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
By submitting content to the platform (profiles, job listings, messages), you grant Careerly a non-exclusive, worldwide, royalty-free license to use that content solely to operate and improve the platform.
8. Third-Party Services
The platform integrates with third-party services including Stripe (payments) and Google Calendar (demo scheduling). Your use of these services is governed by their respective terms and privacy policies. Careerly is not responsible for the practices of third-party services.
9. Disclaimers
The platform is provided "as is" and "as available" without warranties of any kind, express or implied. Careerly does not warrant that the platform will be uninterrupted, error-free, or free of viruses. We do not guarantee hiring outcomes, candidate quality, or employer legitimacy beyond our verification processes.
10. Limitation of Liability
To the maximum extent permitted by law, Careerly Tech LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability for any claim arising from these Terms or your use of the platform shall not exceed the amounts paid by you to Careerly in the three months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Careerly Tech LLC and its affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorney fees) arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.
12. Termination
We may suspend or terminate your access to the platform at any time, with or without notice, for any violation of these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting us. Termination does not relieve you of obligations incurred prior to termination.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on the platform. Continued use after the effective date of changes constitutes acceptance of the updated Terms.
